Proofpoint, Inc., the email and data security vendor owned by Thoma Bravo, has agreed to acquire Varonis Systems, Inc. in an all cash transaction valued at approximately 6.3 billion dollars. The deal was announced on October 15, 2026. Varonis shareholders are to receive 49.75 dollars per share in cash, a premium of 52 percent to the closing price of 32.71 dollars on the last full trading day before sale speculation first surfaced, and 17 percent to the 42.35 dollars at which the stock closed on the last full trading day before further media reports. The Varonis board of directors approved the transaction unanimously.
Yaki Faitelson, Chief Executive Officer, Co-Founder and Chairman of the Board of Directors of Varonis, said the company's mission is "to secure AI and the data that powers it." Sumit Dhawan, Chief Executive Officer of Proofpoint, called the acquisition "a defining step in Proofpoint's evolution into a cybersecurity platform built for the future of AI." Thoma Bravo has provided committed equity financing and secured debt financing commitments, and the Ontario Teachers' Pension Plan has agreed to invest in Proofpoint. Completion is expected in the first half of next year, subject to approval by Varonis shareholders and by regulators.
The strategic logic is a wager on where security budget moves once generative systems sit inside the enterprise. Proofpoint's historic franchise guards the perimeter of human communication, in email and collaboration. Varonis works on the other side of that boundary, mapping who can reach which files and which permissions are too broad. An assistant that inherits a user's entitlements makes the second problem commercially urgent, because unresolved access sprawl converts directly into data loss. Buying that capability rather than building it is the faster route for a sponsor owned vendor that needs a coherent platform story before any eventual return to the public markets.
The price is demanding, and that says something about scarcity. Proofpoint is paying roughly 53 times trailing twelve month free cash flow and 8.4 times trailing revenue, measured as of the end of the second quarter, for a company whose unaffected share price was roughly two thirds of the agreed price per share. Independent data security vendors of this scale are few, and the large platform companies in endpoint, network and cloud security have been assembling the same capability set from smaller purchases. A transaction at this level resets the reference price for the category upward, which raises the cost of the build or buy decision for every rival still weighing one.
The timetable is the other variable. A close in the first half of next year leaves a long interval in which a shareholder vote and multiple regulatory reviews must be cleared, and in which Varonis must sell renewals against a competitor narrative that its roadmap now belongs to a private equity owner. Retention of the Varonis field organisation through that period, rather than the technology fit, is the part of this deal most likely to determine whether the multiple is justified.
