Volution Group has named Celia Baxter as its Senior Independent Director, confirming the appointment in a regulatory announcement on 2026-10-14. She succeeds Amanda Mellor, who retires from the board at the conclusion of the company's annual general meeting in December.

This is an elevation rather than a new arrival. Baxter joined the Volution board as a non executive director in the spring of 2025 and chairs its Remuneration Committee, so she takes the senior independent role with the better part of two years of the company's affairs already behind her. That matters more than it might appear. The senior independent director is the board's shock absorber, the person shareholders approach when the ordinary channel through the chair is unavailable or unsuitable, and the role is considerably easier to perform from a standing start inside the business than from outside it.

Her wider portfolio is unusually well matched to the company. She is Senior Independent Director and Remuneration Committee chair at discoverIE Group, the electronics components maker, and joined the board of Genus, the animal genetics group, in the autumn of 2025. Both are mid cap British industrial and science businesses of broadly the shape Volution occupies, which means the governance questions she is handling elsewhere are the questions this board faces too.

Before her non executive career she was Group Human Resources Director at Bunzl, the distribution group, and she has previously served on the boards of Bekaert, Trifast, Tyman, Smiths Group and DS Smith. That is a long run of listed company board service concentrated in manufacturing and engineering, and the remuneration committee work that has followed her from company to company reflects where her executive background sits.

Volution makes ventilation products and has grown substantially by acquisition across Britain, continental Europe and Australasia. Companies on that trajectory place particular weight on the senior independent director, because an acquisitive strategy repeatedly puts the board in the position of testing management's own case for a transaction. A director who already chairs remuneration has seen how incentives are set against that strategy, which is a useful vantage point from which to ask whether the strategy is working.

The announcement was made by regulatory news service and the company did not report any other board changes alongside it. Mellor's retirement at the annual general meeting completes a planned succession rather than an abrupt departure, and the handover is therefore scheduled rather than immediate.
