Northern Star Resources Appoints Former Anglo American Chief Mark Cutifani to Its Board

Northern Star Resources has appointed Mark Cutifani an independent non-executive director, adding one of the most experienced operators in global mining to the board of Australia's largest listed gold producer. The company lodged the appointment with the exchange and he joined the board at the start of October. Peter Rozenauers was appointed at the same time.

Cutifani led Anglo American as chief executive for nine years to twenty twenty two, a tenure that covered the restructuring of a diversified major whose balance sheet had been badly exposed by the commodity downturn of the middle of the last decade. Before Anglo he was chief executive of AngloGold Ashanti, which makes him one of the few executives to have run both a large diversified miner and a large pure-play gold company.

Since leaving Anglo he chaired Vale Base Metals, sits on the board of TotalEnergies, is senior independent director of Laing O'Rourke and chairs the board of the Global Tailings Management Institute, the body set up to oversee the industry standard on tailings storage facilities after the Brumadinho failure. He was appointed CBE in twenty twenty four.

The tailings role is the one that matters most for a board seat at a gold producer. Northern Star operates a portfolio of underground and open pit mines across Western Australia and in Alaska, and tailings storage is the single category of operational risk most capable of ending a mining company rather than merely damaging it. A director who chairs the global standard-setting body for that risk changes what the board can credibly assess.

The appointment also lands at a moment of consequence for the company. Northern Star's board rejected an unsolicited approach from Gold Fields in late September, saying the proposal undervalued what its chairman described as one of the world's premier gold portfolios. Adding a director who has sat on both sides of large mining transactions, and who ran a company that was itself the subject of a rejected approach from BHP, gives the board a specific kind of experience for the period that follows a rebuffed bid.

Rozenauers joins alongside him as a second independent non-executive director, so the board is adding operating and technical depth in a single step rather than through a staged refresh.

Northern Star Resources is listed on the Australian Securities Exchange and is a constituent of the S&P ASX 50. It produces gold from operations in Western Australia and from the Pogo mine in Alaska.
