An EQT Corporation drilling rig platform in the Appalachian basin

EQT Corporation has agreed to acquire Range Resources in an all-stock transaction, announced on 26 October 2026. Range shareholders are to receive 0.987 EQT shares for each Range share. The companies state a pro forma enterprise value of more than 50 billion dollars.

Both companies are natural gas producers in the Appalachian basin, operating across the Marcellus and Utica shales. The exchange ratio is the only consideration term published; the companies did not state a deal value or a premium, and any such figure appearing in coverage is a calculation by the outlet rather than a number either company disclosed.

The logic here is contiguity rather than diversification. These are two producers drilling the same rock in the same basin, which is the cheapest kind of combination to justify: acreage that adjoins acreage allows longer laterals, fewer rigs moved fewer times, and a single gathering and processing footprint where there were two. An all-stock structure signals that the acquirer is unwilling to add leverage for it, which in a gas business exposed to winter price swings is a conservative choice, and it leaves Range holders exposed to the combined entity rather than cashed out.

The second thing executives should read into this is where Appalachian gas now thinks its demand is coming from. Consolidation at this scale is not a bet on incremental residential heating load. It is a bet on data centre and industrial power demand in the mid-Atlantic and on liquefied natural gas export capacity on the Gulf coast, both of which reward a producer that can commit large, firm, long-dated volumes. A single producer of the combined size can underwrite supply agreements that neither company could sign alone, and that negotiating position is the asset being assembled.

What the announcement leaves open is the regulatory path and the integration timetable. Two of the largest producers in one basin combining invites scrutiny of gathering and processing positions as well as of wellhead supply, and no closing conditions, approvals schedule or management structure were published alongside the exchange ratio.

Both companies are listed in the United States.
