Xero has appointed Mark Durcan as an independent non executive director, effective immediately. The accounting software company disclosed the appointment to the Australian Securities Exchange.

Durcan is the former Chief Executive Officer of Micron Technology, the United States memory chipmaker, where he also served as Chief Operating Officer and Chief Technology Officer across a long career. He currently sits on the supervisory board of ASML, the Dutch semiconductor equipment maker, and chairs the board of Cencora, the United States pharmaceutical distribution group.

The appointment follows the retirement of Anjali Joshi from the Xero board at the close of the company's annual meeting this year. Durcan will stand for election by shareholders at the 2027 annual meeting, which is the ordinary course for a director appointed by the board between meetings.

The choice is a pointed one for a software company. Durcan's operating career was spent in semiconductors rather than in software or financial services, which is where Xero's business sits, and his two current seats are at a chip equipment maker and a drug distributor. What those roles have in common is scale, capital intensity and long investment cycles, and boards reaching for that profile are usually thinking about infrastructure cost and about the discipline of committing capital years ahead of revenue.

For a company whose product economics are increasingly shaped by what it spends on computing, that is a more relevant background than it first appears. Xero sells cloud accounting software to small businesses and accounting practices, a market in which the competitive question has shifted towards what artificial intelligence features cost to run and how quickly they can be shipped.

Durcan also brings a particular kind of governance experience. A sitting board chair at one listed company and a supervisory board member at another has seen the oversight question from both the chair's seat and the member's seat, in two different corporate governance systems, since the Dutch supervisory board model separates oversight from management more formally than the Anglosphere unitary board does.

Xero is incorporated in New Zealand and listed on the Australian Securities Exchange, having left the New Zealand exchange several years ago. Its headquarters remain in Wellington.

The company gave no committee assignments for the new director in its disclosure, and none would be expected at the point of appointment. Those usually follow at the first board meeting after a director takes their seat.
