It was formed on 1 February 1955 through the merger of the Bank of Toronto, established in 1855, and the Dominion Bank, established in 1869, both of Toronto origin. The group employs more than 100,000 people and serves more than 28 million customers across Canada and the United States.
The bank is listed on the Toronto Stock Exchange and the New York Stock Exchange under the ticker TD and is widely held, with no controlling parent. Its United States arm, TD Bank N.A., ranked among the ten largest banks in that market at the time of a 2024 enforcement action.
On 10 October 2024 TD Bank N.A. and TD Bank US Holding Company pleaded guilty to Bank Secrecy Act conspiracy and money laundering conspiracy charges, drawing penalties of approximately 3.09 billion dollars across the Department of Justice, the Federal Reserve, the Office of the Comptroller of the Currency and FinCEN. The OCC imposed an asset cap fixing the group United States consolidated assets at their 30 September 2024 level of 434 billion dollars, with scope to compel further reductions, and required an independent monitor.
